1. ACCEPTANCE OF TERMS

By accessing this website, making a donation, or using any services provided by Regenerative Impact Alliance ("RIA," "we," "us," "our"), you agree to these Terms of Service. If you do not agree, please do not use our services.

2. ABOUT RIA AND OUR MISSION

RIA is a 501(c)(3) nonprofit organization dedicated to democratizing access to coordination tools and business frameworks for impact professionals globally. We operate as a digital makerspace where professionals co-create toolkits for community empowerment.

3. DONATION TERMS

3.1 Nature of Contributions
All contributions are voluntary donations to support RIA's mission and programs. Donations are NOT:

  • Investments with expected financial returns

  • Purchase of goods or services

  • Guaranteed to fund specific individuals or outcomes

  • Refundable except as required by law

3.2 Fund Allocation
Donations support our Community Coordination Hub pilot program through strategic partner alignments. While we direct funds toward stated program goals, RIA retains discretion to allocate resources where most needed for mission fulfillment.

3.3 Tax Deductibility (EIN: 39-3294321)
US donors: Contributions to RIA are tax-deductible to the extent allowed by law. We will provide receipts for donations. Consult your tax advisor regarding deductibility.

Non-US donors: Tax treatment varies by country. Consult local tax professionals.

3.4 No Goods or Services Provided
Donations do not entitle donors to goods, services, or ownership interests. Recognition (e.g., "founding supporter" status) is acknowledgment only, not a purchase.

4. PROGRAM IMPLEMENTATION

4.1 Community-Led Approach
RIA provides coordination infrastructure and strategic support. Local community leaders make implementation decisions. We cannot guarantee specific outcomes as communities maintain autonomous decision-making authority.

4.2 Pilot Program Structure
The Community Coordination Hub program operates in phases:

  • Stage 1: Coordination infrastructure deployment ($100,000 goal)

  • Stage 2: Emergency infrastructure (contingent on Stage 1 success and additional funding)

Stage 2 implementation depends on Stage 1 results and available resources. We make no guarantees about Stage 2 timing or scope.

4.3 Adaptation and Changes
Community needs evolve. Program implementation may adapt based on:

  • Local conditions and priorities

  • Community feedback and decision-making

  • Resource availability

  • Unforeseen circumstances

We commit to transparency about adaptations, not rigid adherence to initial plans.

5. INTELLECTUAL PROPERTY

5.1 Open Source Commitment
RIA operates under information liberation philosophy. Our coordination methodologies, templates, and frameworks are freely available for community replication.

5.2 Website Content
Website content, including text, graphics, logos, and software, is owned by RIA or licensed to us. You may view and download content for personal, non-commercial use. You may NOT:

  • Modify or copy materials for commercial purposes

  • Remove copyright or proprietary notices

  • Transfer materials to another person

  • Use materials in ways that harm RIA's mission or reputation

5.3 User-Generated Content
If you submit testimonials, comments, or other content, you grant RIA non-exclusive, royalty-free, perpetual license to use, modify, and distribute that content for mission-related purposes.

6. THIRD-PARTY SERVICES

6.1 Payment Processing
We use third-party payment processors (Stripe, GoFundMe, etc.). Your payment information is subject to their terms and privacy policies. We do not store complete payment card information.

6.2 External Links
Our website may link to external sites. We are not responsible for content, privacy practices, or terms of third-party websites.

6.3 AI and Technology Tools
We reference AI tools (Claude, ChatGPT, NotebookLM) and technology services (Starlink, blockchain systems). We are not affiliated with these providers unless explicitly stated. Use of these tools by communities is subject to their respective terms of service.

7. AFFILIATE RELATIONSHIPS

RIA may earn affiliate commissions from some products and services we recommend. See our separate Affiliate Disclosure for details. Affiliate relationships do not influence our mission commitment or program integrity.

8. DISCLAIMERS

8.1 No Guarantees
We provide coordination infrastructure and support but CANNOT GUARANTEE:

  • Specific program outcomes

  • Timeline adherence

  • Individual community success

  • Employment outcomes for trained youth

  • Water security or infrastructure results

  • Technology performance in all conditions

8.2 Community Autonomy
Local communities make their own decisions. We provide tools and support but do not control community implementation.

8.3 Technology Limitations
Technology services (internet connectivity, AI tools, equipment) may experience:

  • Service interruptions

  • Performance variations

  • Compatibility issues

  • Changes in availability or pricing

8.4 Forward-Looking Statements
Descriptions of future program phases, outcomes, or scaling represent goals, not promises. Actual results may differ based on funding, community decisions, and circumstances beyond our control.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

RIA, its directors, officers, employees, volunteers, and partners are NOT LIABLE for:

  • Indirect, incidental, consequential, or punitive damages

  • Lost profits, data, or opportunities

  • Community implementation decisions or outcomes

  • Technology failures or service interruptions

  • Third-party actions or omissions

Our total liability to you for any claim shall not exceed the amount you donated to RIA.

10. INDEMNIFICATION

You agree to indemnify and hold harmless RIA, its directors, officers, employees, and volunteers from claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms

  • Your use of our website or services

  • Your violation of any third-party rights

  • Any content you submit or share

11. PRIVACY AND DATA

Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and protect your personal information.

12. MODIFICATIONS

We may modify these Terms at any time. Changes take effect when posted on our website. Continued use of our services after changes constitutes acceptance. We will notify donors of material changes via email when possible.

13. TERMINATION

We reserve the right to:

  • Refuse or cancel donations in our sole discretion

  • Suspend or terminate access to our website or services

  • Modify or discontinue programs or services

Reasons may include (but are not limited to):

  • Violation of these Terms

  • Fraudulent activity

  • Behavior inconsistent with our mission

  • Legal or operational requirements

14. GOVERNING LAW AND DISPUTES

14.1 Governing Law
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles.

14.2 Dispute Resolution
We prefer to resolve disputes informally. Please contact us at [email protected] with concerns.

If informal resolution fails:

  • Disputes shall be resolved through binding arbitration in Denver, Colorado

  • Arbitration under American Arbitration Association rules

  • Each party bears own costs unless arbitrator decides otherwise

  • Class action waiver: Disputes must be brought individually, not as class actions

14.3 Exceptions
Either party may seek injunctive relief in court for intellectual property or confidentiality matters.

15. MISCELLANEOUS

15.1 Entire Agreement
These Terms, along with our Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and RIA regarding our services.

15.2 Severability
If any provision is found unenforceable, remaining provisions remain in full effect.

15.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment
You may not assign rights under these Terms. We may assign our rights to successor organizations.

15.6 Force Majeure

16. ACKNOWLEDGMENT

By donating or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

REFUND POLICY

General Donations: Donations to RIA (501c3 nonprofit) are generally non-refundable. However:

  • If charged in error, contact us within 30 days for refund

  • If you believe fraud occurred, report immediately

  • Duplicate charges will be refunded promptly

DISCLAIMERS FOR CROWDFUNDING

No Investment Returns: Contributions are donations, not investments. You will not receive:

  • Financial returns or profits

  • Ownership interests

Program Evolution: Community Coordination Hub program may evolve based on:

  • Community needs and decisions

  • Available resources

  • Operational realities

  • Unforeseen circumstances

We commit to transparency about changes, not rigid adherence to initial plans.

Community Autonomy: Local community leaders make implementation decisions. RIA provides tools and support but does not control community choices or outcomes.

Tax Advice: We are not tax advisors. Consult tax professionals regarding:
